I am attempting to overwrite an existing file with the file manager and get a series of PHP errors.  upgraded from 1x to 2x recently but all other upload features work fine and directories were overwritable in 1x.

Please advise.  See attached image for error messages.

I am sorry to see you are getting these errors!

Do you see the error in both channel entries and File Manager? What version of ExpressionEngine 2 did you upgrade to? Can you try Syncing your Upload destinations per this bug report? Does the error persist?
